Investment Management/Private Funds Associate - Stamford, CT

Day Pitney’s Corporate team in the Stamford office is seeking an attorney with 5-10 years of experience in Investment Management and Private Funds. This position offers the flexibility to work a portion of time in our New York, New Jersey, Boston, Miami or Washington DC office.  We have a hybrid work schedule. Experience should include:

• Practice focused on formation and structuring of private investment funds, onshore and offshore funds, including hedge funds, fund of funds, fund of fund managers, private equity funds, commodity pools, venture capital funds, real estate funds and other private investment funds

• Counsel investment managers on federal securities laws, including Investment Advisers act compliance, Securities Act (Regulation D and Regulation S) and 3(c) exclusions under Investment Company Act

• Counsel advisers on compliance with the Commodity Exchange Act (“CEA”)

• Experience with registering as an investment adviser under the Advisers Act, registration as a commodity pool operator and commodity trading adviser under the CEA as well as perfecting applicable exemptions for such advisers

• Experience drafting investment management agreements, PPMs, sub-advisory agreements, operating agreements and limited partnership agreements, subscription agreements, and side letters

• Counsel clients in connection with the preparation of General Partner and Investment Manager operative agreements including structuring incentive compensation and other employee benefits

• Experience representing institutional investors such as pension funds in connection with investments into large private equity and real estate funds a plus

• Partnership tax experience and negotiating ISDA confirmations/prime brokerage agreements a plus
