Jed Davis was quoted in an article, "Marriott Hack Shows Risks Of Lax Cyber Diligence In Mergers," published by Law360. In the wake of the only recently-discovered data breach affecting 500 million Starwood Hotels & Resorts' customers since 2014, the article examines Marriott International's diligence in acquiring Starwood in 2016. As noted in the article, courts and regulators will likely question whether Marriott took reasonable steps to investigate Starwood's cybersecurity. "Mergers and acquisitions historically have not required deep investigation at the time of the transactions, and if they did, the transactions wouldn't have occurred," Davis told Law360. "But in an era of cyber risk, the question is: What is deep enough?"
