Steven "Steve" Gold assists clients in the areas of corporate law, mergers and acquisitions, and commercial finance, including establishment of various entities and counseling on finance matters. He represents a diverse group of corporations, entrepreneurs, commercial banks, investment banks and investors. Steve counsels them on corporate and commercial finance transactions, investments, secured and unsecured financings, and asset-based lending matters, including loan/equity documentation, workouts and restructurings. Steve represents commercial banks, secured lenders and other financial institutions in connection with secured, asset based and specialized collateral financings, as well as in the workout/restructuring of financing facilities on behalf of national and international banks and private lenders. He also provides counsel to commercial borrowers, non-profits and other corporations in workout, non-bankruptcy restructurings and composition arrangements with creditors.
Steve also represents high technology and emerging growth entities, including numerous computer, software and telecommunications companies. His practice includes "corporate divorce" and representation of senior management and professional entities in partnership and corporate matters and general business, commercial and employment-related issues.
Steve frequently testifies on behalf of plaintiff and defense counsel as an expert witness as to custom and standard of care, as well as professional liability, issues arising in commercial, corporate and financial litigation matters. He also provides opinions on corporate/commercial and finance related legal issues.
Represented a regional bank in the workout of a series of secured financings to a large nursing home operator in Connecticut, including the forbearance and restructuring of the entities secured and unsecured debt to creditors
Represented a large regional non-profit religious organization in connection with the private restructuring of all debt obligations to all creditors, unions, commercial lenders/mortgage holders, as well as the protection of the Board of Directors of the organization, who had significant personal liability for corporate obligations under applicable law
Handled $65 million structured financing for a worldwide designer and manufacturer of fuel filtration systems, fuel pumps, fuel injectors and valve train components, with almost $300 million in annual sales and an Exchange Act reporting company, with facilities in Connecticut, North Carolina, Florida, France, Italy, India and Brazil
Represented a distributor of motor fuel in their purchase for $60 million; counsel included the confidentiality agreement, letter of intent and drafting of all purchase documents, as well as representing the client before the corporate financier, a boutique investment bank
