Henry Ko counsels publicly and privately held companies on corporate, transactional and securities law matters. He primarily practices in the areas of capital markets, public offerings, private placements, corporate reorganizations and compliance with public reporting responsibilities. Henry has represented both issuers and underwriters/initial purchasers in connection with initial public offerings and other offerings registered with the Securities and Exchange Commission, as well as private offerings exempt from registration. His practice covers a wide array of industries, with substantial experience in, and emphasis on, the technology, banking and financial sectors, as well as various retail service industries. Henry also advises both public and private companies with respect to corporate governance, disclosure and other legal compliance matters. Henry previously worked at Kirkland & Ellis, LLP, in New York, NY from 2008 to 2014.

Represented a privately owned coal company in its $150 million private placement of senior secured notes (2010)
Represented a private equity sponsor in a $275 million private placement of senior notes, in connection with the acquisition of the automotive aftermarket brands business of a NYSE-listed, manufacturer and marketer of consumer and professional products (2010)
Represented a global producer and marketer of titanium products and its affiliates on corporate/securities matters related to its emergence from Chapter 11 reorganization (2011)
Represented a performance materials and specialty chemicals company in its $400 million private placement of senior notes (2009) and $300 million registered offering of senior notes (2010)
Represented a NASDAQ-listed, broadband communications and cable operating company and its affiliates on corporate/securities matters related to its emergence from Chapter 11 reorganization (which at the time was the largest pre-negotiated reorganization in history), decreasing its outstanding debt by approximately $8 billion and raising approximately $1.6 billion through an equity rights offering.
