Kate McGinnes has extensive experience assisting clients in the energy industry in their transactions associated with the development, construction, sale of output, and disposition of electric generation facilities. She also has provided legal support in negotiating and implementing a wide range of agreements relating to fossil-fueled, waste-to-energy and hydro power generation facilities, including power purchase agreements, commodity contracts, engineering, procurement and construction (EPC) contracts, energy management agreements, long-term service agreements, and a broad variety of fuel supply arrangements and operational contracts. Her transactional experience also includes drafting, negotiating and managing power purchase agreements, derivative sales agreements using the ISDA master agreement, gas purchase and sale arrangements using the NAESB agreement, and renewable energy credit transactions and other emissions trading to comply with RGGI and renewable portfolio standards. Kate also monitors and advises energy clients on applicable federal and state regulatory developments impacting power plants.
Prior to joining Day Pitney, Kate was the deputy general counsel for EquiPower Resources Corp. which was a subsidiary of Energy Capital Partners that owned almost 5,000 MW of power generators in North America. In that role, Kate provided legal support for all operational, financial, commercial and M&A activities, including with EquiPower's divestitures of 830 MW and 1,000 MW project companies and the acquisition of a 444 MW facility. Kate also served as associate general counsel at Pratt & Whitney, a division of United Technologies Corporation, where she was primarily responsible for negotiating and managing commercial engine sales, long-term maintenance and aftermarket agreements.
